Terms of Service

You must be at least 13 years old to use CPZone. By using the App, you represent and warrant that: • You are at least 13 years of age • You have the legal capacity to enter into these Terms • You will comply with all applicable laws and regulations • All information you provide is accurate and truthful • You will maintain the accuracy of such information If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

To access certain features of the App, you must create an account. You agree to: • Provide accurate, current, and complete information • Maintain and promptly update your account information • Maintain the security of your password • Accept responsibility for all activities under your account • Notify us immediately of any unauthorized use You may not: • Use another user's account without permission • Share your account credentials with others • Create multiple accounts for the same person • Create accounts through automated means We reserve the right to suspend or terminate accounts that violate these Terms.

You agree to use CPZone only for lawful purposes. You must not: • Violate any applicable laws or regulations • Infringe upon the rights of others • Transmit any harmful, threatening, or offensive content • Attempt to gain unauthorized access to the App or related systems • Interfere with or disrupt the App or servers • Collect information about users without consent • Use the App for any commercial purpose without permission • Reverse engineer, decompile, or disassemble the App • Remove or modify any copyright or proprietary notices • Use automated systems to access the App without permission Violation of these terms may result in immediate termination of your account.

You retain ownership of any content you submit, post, or display on CPZone ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute your User Content in connection with the App. You represent and warrant that: • You own or have the necessary rights to your User Content • Your User Content does not violate any third-party rights • Your User Content complies with these Terms We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, at our sole discretion.

The App and all its contents, features, and functionality are owned by CPZone and are protected by international copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent. All other trademarks not owned by us that appear in the App are the property of their respective owners. You are granted a limited, non-exclusive, non-transferable license to access and use the App for personal, non-commercial purposes, subject to these Terms.

Certain features of CPZone may require payment. By purchasing a subscription or making a payment: • You agree to pay all applicable fees and charges • You authorize us to charge your payment method • You agree that prices may change with notice • Subscriptions automatically renew unless cancelled • Refunds are provided at our sole discretion All payments are non-refundable unless required by law or specified otherwise. We reserve the right to change our fees at any time with reasonable notice.

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that: • The App will be uninterrupted or error-free • Defects will be corrected • The App is free of viruses or harmful components • The results obtained from the App will be accurate or reliable Your use of the App is at your sole risk. We make no representations about the suitability of the App for any purpose.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPZONE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. Our total liability to you for any claims arising from your use of the App shall not exceed the amount you paid us in the twelve (12) months prior to the claim, or $100, whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless CPZone and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: • Your access to or use of the App • Your violation of these Terms • Your violation of any third-party rights • Your User Content We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you.

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason, including: • Breach of these Terms • Fraudulent or illegal activity • At your request • For any other reason at our sole discretion Upon termination: • Your right to use the App will immediately cease • We may delete your account and User Content • Provisions that should survive termination will continue in effect You may terminate your account at any time by contacting us at support@cpzone.com.

Any disputes arising from these Terms or your use of the App shall be resolved through: 1. Informal negotiations 2. Binding arbitration if negotiations fail 3. Small claims court for qualifying disputes By agreeing to these Terms, you waive your right to a jury trial and to participate in class action lawsuits. The arbitration will be conducted under the rules of the American Arbitration Association. The arbitrator's award will be binding and may be entered as a judgment in any court.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to or use of the App shall be instituted in the state or federal courts located in San Francisco County, California. You agree to submit to the jurisdiction of such courts.

These Terms constitute the entire agreement between you and CPZone regarding the App. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. These Terms do not create any agency, partnership, joint venture, or employment relationship between you and CPZone.
